Memorandum of Society

AIMS AND OBJECTIVES
  1. To provide advocacy for children with congenital and acquired heart disease requiring critical care before and after cardiological procedures and cardiac surgery, to help them achieve best possible recovery from critical illness and to attain physical, mental, psychological and social health to best of their genetic and organic potential.
  2. To encourage and advance knowledge, study and practice of pre-operative and post-operative critical care management of children with heart disease, especially infants with congenital heart disease.
  3. To promote scientific collaboration among members who are devoted to providing critical care to children with heart disease during their critical illnesses, and to devise rules regarding standards for their professional conduct.
  4. To organize, establish, conduct, superintend or control institutions for promoting directly or indirectly practice, study and research in critical care management of congenital and acquired heart disease in children.
  5. To try and establish and maintain preliminary brochures on critical care management of congenital and acquired heart disease in children, reading rooms, laboratories and research centers for promotion of its objectives.
  6. To provide facilities to students, scholars and institutions for the study of or research in any of its aspects by way of scholarships, fellowships, grants, endowments, etc.
  7. To fund, maintain or award, either itself or in co-operation with other bodies or persons fellowships, prizes, certificates, and diplomas of proficiency in the study of critical care of congenital and acquired heart diseases in children and conduct such tests, examinations and other scrutiny as may be prescribed from time to time.
  8. To print and publish official journals of the society, books, periodicals or publications on critical care management of children with heart diseases and to incur necessary expenses for the same.
  9. To train personnel for carrying out the objectives of the society and to incur necessary expenses for the purpose.
  10. To organize conferences, lectures, meetings, seminars, continuing medical/para-medical/nursing education and exhibitions for the promotions of its objectives across India.
  11. To facilitate formation of branches of the society in India or elsewhere to promote all or any of the objectives of the society.
  12. To cooperate and affiliate with other professional bodies, government and non-government organizations and to engage in such activities as decided by the Governing Body from time to time for the purpose of carrying out all or any of the objectives of the Society.
  13. To supervise and advise on legislation on critical care management of children with heart disease.
  14. To acquire movable and immovable property and assets, purchasing, constructing, altering, maintaining, selling, running, or mortgaging properties that may be necessary for aforesaid objectives.
  15. To frame bye-laws, rules, and regulations and to amend, add, alter or delete the same as and when necessary.
  16. To do all such other activities as may be incidental to or conducive to the attainment of aims and objectives of the Society.
  17. To cooperate with the Paediatric Cardiac Society of India (PCSI), ECMO Society of India, Cardiology Chapter of the Indian Academy of Pediatrics (IAP), and other clinical/non-clinical societies/associations from India and abroad as and when considered necessary.
  18. To engage, employee or hire appropriate staff, workers, legal or other professionals, attorneys, managers and agents for the work and furtherance of the aims and objects of the Society and to pay their wages, salaries, stipends or fees.
  19. To borrow or receive money (with interest or without interest) and upon such terms and conditions as are approved by the Governing Body of the Society.
  20. To accept donations, grants, presents and other offerings (in the shape of movable or immovable properties) and the same shall be promotions of aims and objects of the Society.
  21. To raise funds and resources for the attainment of any of the aims and objects of the Society by all lawful means including investment of the funds, donations, fundraising campaigns, cultural programs, sale of literature, property development, rent form the building etc.
  22. To device ways to cut down the cost of treatment so as to make it affordable to masses.
  23. To promote ethical practice amongst the members.
  24. To promote brotherhood amongst the members.
  25. To serve as an agency for safe-guarding the interests of its members
  26. To attain these, without prejudice to the generality of the objectives.
  27. To hold annual conference once a year in accordance to the objectives of the society.
  28. To publish a newsletter about the activities of Society and any other publication/literature/book/ research work etc.
  29. To promote publication of literature/books on pediatric Cardiac Critical Care an award on publications.
  30. To institute fellowships, orations, prizes awards for the purpose of the objectives.

OTHER IMPORTANT CONDITION REQUIRED TO BE FULFILLED UNDER THE SOCIETIES REGISTRATION ACT, 1860.
  1. The income and property of the Society shall be applied towards the promotion of the objects of the Society as set forth in the Memorandum of Association and no portion thereof, shall be paid or transferred directly or indirectly towards the members of the Society.
  2. No member of the Governing Body of the Society shall be appointed to any salaried office of the Society or any office of the Society paid by fees, that no remuneration shall be given by the Society to any member of such Governing Body except repayment of out-of-pocket expenses and interest on money lent or spent for premises/demises to the Society.
  3. The Society by its constitution is required to apply its profits, if any or other income in promoting its objects.
  4. If upon the winding up or dissolution of the Society, there remains after realization of its debts and liabilities any property whatsoever the same shall not be paid to or distributed among the members of the Society but shall be given or transferred to some other institution having objectives similar to the objectives of the Society to be determined by the member of the Society at or before the time of dissolution.
  5. In case of nonexistence of the appropriate institution, trust or society, the assets and properties shall be taken up by the Government of India.
  6. The management of the affairs of the society is entrusted in accordance with the rules and regulations of the Society to a Governing Body.
