Rules and Regulations

OFFICE:

The registered office of the Society shall be in Chandigarh.

MEMBERSHIP:

The membership shall constitute of persons who belong to Society of Pediatric Cardiac Critical Care (SPCCC) and are interested in charitable work. Persons seeking membership shall agree to abide by the Rules and Regulations of the Association.

Membership Fee and Subscription Fee:

Founder members will subscribe with a Fee of Rs. 2000/- towards Life-Membership.

The annual subscription fee for Society Members will be Rs.500 and for Life Membership Rs. 3,000/-.

Corporate Members will subscribe with annual fee of Rs. 50,000/-.

These figures may be changed by the Society from time to time.

Consequences of Non-Payment of Subscription Fee:

In case of a member does not pay his subscription fee for three months, he shall be expelled from the membership of the Society.

Fines and Forfeitures:

In case of a member does not pay his subscription fee in a time, a fine of Rs. 1/- shall be paid for every day of delay. In case of a member does not pay his subscription fee for three months, he shall not be only be expelled from the membership but whatsoever subscription fee has been paid by him shall stand forfeited. The Governing body shall have the power to waive off the fine.

Resignation / Expulsion / Vacancy of Member Office Bearers:

 A member may be expelled from membership of the Society by 2/3rd majority of members voting for the resolution, if he is found not abiding by the Rules and Regulations of the Society, or is found engaged in activities the aims and objects of the Society. A member also loses his membership if he resigns, becomes of unsound mind or convicted of a criminal offence by a court of law in India. A person ceases to be a member in case of non-payment of membership fee or fine thereon. A person also loses his membership if he does not attend three successive meetings of the Society. The membership of a person come to an end in case any member dies. Such a vacancy or vacancies created by aforesaid reasons shall be filled by 2/3rd majority of members voting. The membership in case of death of a member is not hereditary.

Re-Admission:

If any member of the Society is expelled by the Governing body on the reason of non-payment of subscription fee, he can be re-admitted provided the member concerned pays all up to date dues and fines with permission of the Governing Body.

GENERAL BODY

Formation:

The supreme authority of the Society shall vest in the General Body, which will consist of all the members of the Society.

Powers and Functions:

  1. The General Body shall elect office bearers of the Governing Body from amongst its members by secret ballot.
  2. The General Body shall receive and adopt the audited statement of account and the Annual Report of the Society by 2/3rd majority of the members present and voting.
  3. The General Body shall have the power to enact new Rules amend and rescind any of its existing Rules and Regulations by 2/3rd majority of the members present and voting.
  4. The General Body shall have the power to transact such other business may be brought up at its meeting.

Meeting:

  1. The General Body shall meet at least once every year at a time and place fixed by the President of the Society.
  2. A special meeting of the General Body shall be convened by President of the Society as and when it shall become necessary.

Quorum: Minimum of 2/3rd members at any meeting shall constitute the quorum of the General Body meeting.

GOVERNING BODY

Formation: There shall be a Governing Body of the Society to assure and fulfil the aims and objects and carry out its business and other affairs. The Governing Body would be formed/elected from amongst the members of the General Body.

Meetings: Meeting of the Governing Body shall be convened at least once every month. It may even meet more than once if it deems necessary to carry out the business of the Society.  Under normal circumstances a notice of 10 days shall be given to convene a meeting for the Governing Body. However, in case of emergency a short notice of 24 hours can also be issued.

Quorum: A minimum of 2/3rd members present at a meeting would be enough to constitute the quorum of the meeting of the Governing Body.

Powers and Functions:

  1. The Governing Body shall be responsible for the management and administration of all the affairs of the Society.
  2. The Governing Body shall work for the achievement or its aims and objects as stated in its Memorandum of Society.
  3. The Governing Body shall take all decisions of majority votes.
  4. The Governing Body shall comply with the statutory provisions of the Societies Registration Act, 1860 as well as other laws applied from time to time.
  5. The Governing Body shall have the powers as the powers of the Society mentioned in its Rules and Regulations.

The Governing Body shall:

  1. Prepare plans, projects and programs.
  2. Appoint Election Officers, mentioning his/her powers.
  3. Maintain and file annual lists.
  4. File balance sheet.
  5. Submit audited accounts.
  6. Any other information required by the Registrar of Societies.
  7. Maintain quorum in its meetings.
  8. Issue relevant notices including elections and dissolution and pass resolutions
  9. Collection admission, subscription and other fee as well as donations and special contributions.
  10. Hold urgent, monthly meetings and give notices for annual meeting of the General Body.
  11. Pursue legal proceedings if any for the against the Society.
  12. Purchase and sell immovable and movable property in the name of the Society, mortgage and lease out the same to raise necessary funds for achieving its objects:
  13. To construct and erect, demolish and renovate buildings as required in the interest of the
  14. To do all other jobs are incidental to and in the interest of the Society.

Strength:

The Society shall have the following members as the Governing Body deemed in accordance with the Rules and Regulations of the Society—

  1. President                    :        ONE
  2. Vice-President           :        ONE
  3. General Secretary     :        ONE
  4. Joint Secretary         :        ONE
  5. Treasurer                    :        ONE
  6. Legal Advisor            :       ONE
  7. Executive Members :       TWO

Mode of Election/Tenure of office bearers: The members of the Governing Body shall be elected out of the General Body by secret ballot/voice vote. Each office bearers shall be elected for a term of two years. On the expiry of two years, the new body shall be elected within the frame work of the Rules and Regulations of the Society. As soon as the new body is elected the old one shall cease to function and would hand over charge to the new body without delay. In case of death of an office bearer, his office would be fulfilled by electing another member by 2/3rd majority of the members voting. The post of office bearers is not hereditary.

POWERS OF OFFICE BEARERS

President:

  1. He/she can use his discretionary powers for the betterment of the Society activities.
  2. He/she can convene the emergency meetings of the Society members.
  3. He/she will chair the meetings of the Governing Body of the Society.
  4. He/she shall have the power to include any subject/matter in the agenda for discussion in the course of meetings/proceedings

Vice-President:

  1. The Society shall have a Vice President.
  2. The Vice President shall discharge all such functions/duties which are delegated to him/her by the President.
  3. He/she shall discharge all the functions of the president during his absence.
  4. He/she shall discharge all such functions as are delegated to him by the President.

General Secretary:

  1. He/she shall supervise the functions of other secretaries.
  2. He/she shall maintain peace during the functions
  3. He/she shall announce the programme of the Society.
  4. He/she shall convene meeting with the consent of the President of the Society.
  5. He/she shall receive and welcome VIPs and guests.
  6. He/she shall issue notices after the passing of resolutions.
  7. He/she shall organize culture programme for the Society once a year.
  8. He/she shall maintain liaison with all other similar societies, Government and Semi-Government bodies in this regard.
  9. He/she shall get all the important information regarding the programme published in the leading newspapers.
  10. He/she shall seek the approval of the President of the Society before making the said publication.
  11. He/she shall be entitled to spend Rs. 500/- once in a year and Rs. 1,000/- with the permission of the President of the Society.
  12. He/she shall be entitled to keep an imprest money of Rs. 2,000/-, which he/she can recoup by submitting vouchers. For petty expenditures up to Rs.100/- at a time the certificate of the General Secretary or any other office bearers who incurred the expenditure will be acceptable in lieu of the vouchers.

Treasurer:

  1. He/she shall deal with financial matters of the Society.
  2. He/she shall maintain the accounts of the Society and prepare its balance sheet.
  3. He/she shall prepare the statement of estimated expenditure of each function.
  4. He/she shall operate the Bank account with signatures on cheques of any two out of President, General Secretary and Treasurer.


Legal Advisor: To aid and advise the members of the Society on legal aspect of the matter and to ratify the procedures and working of the Society so as to ensure smooth functioning of the Society.

Executive Members:

  1. The Society shall have TWO Executive Members.
  2. The Executive Member shall exercise all such powers as are delegated to them by the President from time to time.

Annual List of Governing Body: Once in every year list of the office bearers and the Executive members of the Governing Body of the Society entrusted with the management of its affairs shall be filed in the office of the Registrar of Societies as required under section 4 of the Societies Registration Act, 1860, on or before the 14th day succeeding the day of Annual General meeting of the Society. In case of delay in filling this list, the Registrar of Society shall charge the prescribed fine not exceeding Rs. 50/-.
